Supplier Code of Conduct

Preamble
At ImCut Holding AG, our commitment to excellence extends beyond our own operations to every link in our value chain. We believe that true sustainability and integrity are collective achievements. This Code of Conduct establishes the mandatory standards of behavior expected from all suppliers, subcontractors, and business partners. By engaging with ImCut Holding AG, partners agree to uphold these principles, ensuring that our shared activities contribute positively to society, the environment, and the global economy.
1.Compliance and Legal Adherence
All partners must strictly comply with all applicable local, national, and international laws, regulations, and treaties. This includes, but is not limited to, trade laws, labor standards, environmental protections, and anti-corruption statutes. We expect our partners to embed these legal requirements into their internal governance structures and to cascade these obligations down to their own sub-suppliers. Ignorance of the law is not an acceptable defense; proactive compliance is mandatory.
2.Fundamental Human Rights and Labor Standards
ImCut Holding AG is unwavering in its dedication to human dignity. We demand the following from our supply chain:
Freedom of Association
Employees must be free to join or form associations and bargain collectively without fear of retaliation.
Prohibition of Forced Labor
All work must be performed voluntarily. The use of prison labor, indentured labor, or any form of coerced work is strictly forbidden.
Child Labor
The employment of individuals below the legal minimum age or below the age for compulsory education is prohibited.
Non-Discrimination and Equal Opportunity
Hiring, compensation, and promotion decisions must be based solely on merit and ability. Discrimination based on race, gender, religion, age, disability, sexual orientation, or political affiliation is unacceptable.
Fair Remuneration
Wages and benefits must meet or exceed legal minimums and industry standards.
3.Occupational Health and Safety
We prioritize the physical and mental well-being of every worker. Suppliers must provide a workplace that is free from recognized hazards and complies with all occupational health and safety (OHS) regulations.
- —Risk Management: Regular risk assessments must be conducted to identify and mitigate potential safety threats.
- —Emergency Preparedness: Clear protocols for fire safety, evacuation, and medical emergencies must be established and communicated.
- —Training: Employees must receive adequate training on safety procedures and the proper use of protective equipment.
4.Environmental Stewardship
ImCut Holding AG views environmental protection as a strategic imperative. Partners are expected to minimize their ecological footprint through:
- —Emission Control: Active measures to reduce greenhouse gas emissions, particularly CO₂, in alignment with global climate goals and the upcoming CBAM regulations.
- —Resource Efficiency: Optimization of energy and water consumption, alongside the implementation of circular economy principles (reduce, reuse, recycle).
- —Waste Management: Safe disposal and treatment of hazardous and non-hazardous waste in accordance with legal requirements.
- —Pollution Prevention: Proactive strategies to prevent air, water, and soil contamination from industrial processes.
5.Business Integrity and Anti-Corruption
We maintain a zero-tolerance policy regarding unethical business practices.
- —Anti-Bribery: No offers, promises, or acceptance of bribes, kickbacks, or improper gifts are permitted in any form, whether direct or indirect.
- —Fair Competition: All market activities must adhere to antitrust and competition laws. Collusion, price-fixing, or market allocation agreements are strictly prohibited.
- —Conflict of Interest: Partners must disclose any situations that could create a conflict between their personal interests and their duties to ImCut Holding AG.
- —Data Privacy and Security: Strict confidentiality must be maintained regarding proprietary information, trade secrets, and personal data. Compliance with data protection regulations (e.g., GDPR) is mandatory.
6.Supply Chain Transparency and Traceability
Suppliers are responsible for mapping their own supply chains to ensure visibility into sourcing practices. We require transparency regarding the origin of raw materials to prevent the involvement of conflict minerals or materials sourced from regions with high human rights risks.
7.Continuous Improvement and Innovation
Compliance is the baseline, not the ceiling. We encourage our partners to innovate and adopt advanced technologies that enhance social and environmental performance. ImCut Holding AG values long-term partnerships where both parties collaborate to improve ESG metrics and drive sustainable solutions.
8.Monitoring, Auditing, and Enforcement
ImCut Holding AG reserves the right to assess compliance with this Code through self-assessments, third-party audits, and corrective action plans. Failure to rectify violations may result in the suspension of orders or the immediate termination of the business relationship.
9.Whistleblowing and Reporting
We foster a culture of openness. Suppliers and their employees are encouraged to report suspected violations of this Code or applicable laws without fear of retaliation. All reports will be handled confidentially and investigated promptly.
